This document is a binding service agreement between the Client and Flare Heartz outlining the terms, payment obligations, and scope of the 6-month monthly store management plan. Please read every section carefully before signing.
This Monthly Management Agreement (hereinafter referred to as the "Agreement") is entered into between Flare Heartz (hereinafter referred to as the "Service Provider"), a web design and Shopify store management service operating in the State of Florida, and the individual or business entity whose information is provided in Section 6 of this document (hereinafter referred to as the "Client").
This Agreement becomes legally binding upon the Client's electronic signature below and Flare Heartz's written or electronic acceptance of the first month's payment. Both parties agree that an electronic signature holds the same legal validity as a handwritten signature under applicable electronic signature laws.
For the duration of the 6-month contract term, Flare Heartz agrees to provide the following monthly management services to the Client:
Services Not Included: The following are outside the scope of this Agreement and will be quoted separately if requested — full store redesigns, adding more than 10 products per month, paid third-party app subscription fees, Shopify plan fees, domain registration or renewal fees, custom development or coding work, and any service not explicitly listed above.
Additional Work: Should the Client require work beyond the scope above, Flare Heartz will provide a separate written quote before any additional work begins. No out-of-scope work will be charged without prior written approval from the Client.
The Client agrees to pay Flare Heartz a fixed monthly fee of $50.00 (fifty US dollars) for each of the six (6) months of this Agreement. The total value of this Agreement is $300.00. Payments are due on the same calendar date each month as the Agreement start date.

Payments are processed automatically via Stripe on the scheduled dates using the payment method provided at sign-up. The Client is solely responsible for keeping their payment information current and accurate.
Failed Payments: If a scheduled payment fails, Flare Heartz will notify the Client by email. The Client will have a 5-day grace period to resolve the issue. If payment is not received within 5 days, services will be paused until the outstanding balance is settled. Repeated failed payments may result in termination of this Agreement.
This Agreement is binding for a fixed term of six (6) consecutive months beginning on the date the Client's first payment is processed. The Client acknowledges that this is not a month-to-month arrangement and that they are committing to the full 6-month term at the time of signing.
At the conclusion of the 6-month term, this Agreement expires automatically. No further charges will be made unless the Client chooses to renew in writing. Upon expiration, the Client may elect to continue on a flexible month-to-month basis at the then-current rate of $75.00 per month.
Early Termination Fee: If the Client wishes to cancel this Agreement before the end of the 6-month term, the Client agrees to pay an early termination fee equal to 50% of all remaining monthly payments. This fee is due within 7 days of the cancellation request.
Example: If the Client cancels after Month 2, four (4) months remain. The termination fee would be 50% × (4 × $50.00) = $100.00, due within 7 days.
Flare Heartz reserves the right to terminate this Agreement immediately and without refund if the Client: (a) engages in abusive, threatening, or harassing communication toward Flare Heartz; (b) fails to make payment within the grace period; (c) requests services that are unlawful or violate Shopify's or any other platform's terms of service; or (d) provides false or misleading information during sign-up.
To allow Flare Heartz to deliver services effectively and on time, the Client agrees to fulfill the following responsibilities for the duration of this Agreement:
Flare Heartz is not liable for issues arising from the Client's own actions on the platform, changes made by unauthorized third parties, third-party app failures, Shopify platform outages, or any circumstances beyond Flare Heartz's reasonable control.
Flare Heartz agrees to keep all Client business information, store data, product details, and login credentials strictly confidential. This information will not be shared with any third party without the Client's prior written consent, except as required by law.
All store content, products, branding, and data belong solely to the Client. Flare Heartz makes no claim of ownership over any assets associated with the Client's store or website. Upon termination or expiration of this Agreement, Flare Heartz will remove its access to the Client's store within 5 business days.
Flare Heartz reserves the right to reference the Client's store as part of its portfolio unless the Client expressly requests otherwise in writing.
